Memorandum

1. To carry on the business of consultancy on education, healthcare, hospitality, Tour and Travelling, Placement services, establishment of School, College and University and others.

2. To carry on the business of consultancy on educational institution like school, college, coaching classes and to carry on courses in all subjects or branches of engineering, science medical, commerce, industrial, commercial, arts, management and any other faculty of education and to run Management and Computer training institutions and establishment of School, College and University and others.

3. To establish, support, maintain, operate and or grant aid to schools, colleges, technical and or other institutions, training centers, Cocoaching classes,practical classes, libraries, reading rooms, lecture halls, study groups, hostels, boarding house imparting general, scientific, commercial, engineering, technical, universities or any other type of education and to conduct and carry on experiments research works or and grant aid to persons and or institutions engaged in the promotion of science or literature of fine arts and diffusion of useful knowledge, economic, scientific and for this purpose to collaborate with any university in India or outside India for any professional courses, professional or general degrees.

4. To carry on the business to own, establish, acquire, run, operate, manage, maintain, develop, promote, administer, advertise, either on its own or through franchisee fully equipped schools, colleges, educational institutes, universities including deemed or autonomous universities, to promote and disseminate knowledge, create awareness and provide a common forum of interaction amongst academicians, professionals and government agencies, establish effective co-ordination, to organize training courses and special programmes to impart training, education in all disciplines, online, distinct, correspondence courses, coaching classes for any stream, any level, any profession, courses for information technology, computer technology, software, hardware, networking, any certified or recognized courses like SAP and of Government, all types of school, university or any recognized institute courses whether aided or unaided, to provided preparatory coaching for becoming proficient in professional learning including online and offline Competitive Entrance Examinations, training programmes for personality development, soft skills, communication skills, creative teaching, behavior skills, trade-commerce-business management, scientific and research and to conduct all types of seminar, training programmes, skilled development programmes and to develop computer software, hardware, web enabled application, information technology related products and also to provide consultancy relating thereto, and to assist the promotion and advancement of trade, commerce, art, science, technology or whatsoever.

5. To apply for, purchase, or otherwise acquire, protect or prolong any patent, design, concessions, trademarks, copyrights and the like conferring an exclusive or non-exclusive or limited right of use, or any secret or other information and/or systems, processes of the Company or which the Company may develop or acquire or propose to develop or acquire.

6. To apply for, purchase or otherwise acquire brand names/service marks for the products manufactured and the services rendered by the Company, from any company, firm, or other person anywhere in the world, particularly international brand names/service marks of the Company's holding or group companies.

7. To expend money for improving or seeking to improve any patents, rights, inventions, discoveries, or information and/or systems, processes of the Company or which the Company may develop or may acquire or propose to develop or acquire.

8. To use, exercise, develop, sell, assign, grant licenses or otherwise turn to account the property, rights and information so acquired. 26) To establish and maintain or procure the establishment and maintenance of any non-contributory or contributory pension, superannuation, provident, welfare and education funds and trusts for the benefit of any person who is or was at any time in the employment or service of the Company or any subsidiary or affiliate of the Company, or who is or was at any time a director of the Company or of any such other company as aforesaid and the spouse, family and dependants of any such person.

9. To provide for the welfare of employees or ex-employees of the Company and their spouses or the dependants of such persons by grant of money, pensions, allowances, bonus or other payments or by contributing to other associations, institutions, funds or trusts and by providing or subscribing or contributing towards places of instruction and recreation, hospitals and dispensaries, medical and other assistance as the Company may think fit.

10. To purchase, hire or use all kinds of vehicles including cars, heavy transport vehicles, and aircraft, for the purpose of transportation of equipment, materials, employees and managerial personnel or for any other purpose.

11. To acquire and hold one or more memberships or membership privileges in stock/security exchanges, commodity exchanges, clearing houses in any other trade or

service associations which memberships, or membership privileges are likely in any manner to facilitate the conduct of the Company's business.

12. To carry on the business or vacation as advisers and consultants on all matters and problems relating to hospitals, health sanatorium, clinics, day care centres, health resorts, health spas and hospices regarding survey, project report, evaluation, design, construction, repair and maintenance, finances, liasoning, co-ordination, legal obligations, organisation and management, health care and health audit and to plan, procure and provide hardware and software, medical and allied equipments for functional general use in the hospitals etc. 31) To buy, sell, supply, store, stock, maintain, or otherwise deal in all kinds and varieties of generic and patent/ non-patent medicines, drugs, mixtures, formulations, tablets, pills, powers, pharmaceuticals and medical products, needles, syringes, injectables, vaccines, sera, immunogens, phylacogens, chemicals and surgical dressings, kits and instruments and to takeover/ establish/operate and maintain diagnosis centres.

13. To set up hospitals, nursing homes and healthcare centres and provide, encourage, initiate or promote facilities for the discovery, improvement or development of new methods of diagnosis, understanding and prevention and prevention and treatment of diseases and to undertake designing and construction of Hospitals and/or other buildings for Government, or for any other person including local authorities, corporations, societies, trusts, companies, firms and other persons.

14. To act as nodal agency of Government of India to implement any scheme and programs as may be assigned or transferred by the Government of India, and also any scheme/ program of Government of India, WHO, UNICEF, or any other regional, national, international or bilateral agencies in the health and family welfare sector both in India and abroad.

15. To encourage and provide the business as package tour operators, daily passenger service operators, tour operators, travel agents, ship booking agents, railway ticket booking agents, airlines ticket booking agents, carrier service agents, courier service agents and to carry on the business as tourist agents and contractors and to facilitate travelling and to provide for tourists and travellers, the provision of convenience of all kinds in the way of through tickets, sleeper cars, or berths, reserved places, hotel, motel and lodging, accommodation guidance, safe deposits, enquiry bureaus, libraries, reading rooms, baggage transport and other allied services.

15. To carry on the business of providing Manpower placement and recruiting, Selecting, Interviewing, Training and Employing all types of executives, Middle Management Staff, Junior Level Staff, Workers, Labourers Skilled/Unskilled required by various Industries and organizations including providing security services, Labour contractors, Industrial, Commercial, Housing and other security services and workers for office management and to conduct employment bureau and to provide consultancy and other services in connection with requirements of persons and manpower supply in India and abroad.

16. To act as an adviser to a company on management, including any legal or procedural matter falling under any law for the time being in force and to carry on the business of Knowledge process outsourcing, Legal outsourcing, Business process outsourcing, Corporate governance services and to provide a complete and comprehensive solutions in all the matter of Corporate Laws, Indian Laws and International Laws and the business of developing, exporting or dealing in information technology and data analysis, electronic data processing, designing systems, software, writing programme and to act as professionals, experts, consultants, advisers, educators and trainers in all management and technical areas, such as social, economic, financial, marketing, production, organizational, systems and operation research.

17. To carry on the business of Software designing, development, customization, implementation, maintenance, testing and benchmarking, designing, developing and detailing in computer software and solutions, and to import, export, sell, purchase, distribute, host (in data centre or over the web) or otherwise deal in own and third party computer software packages, programmes and solutions, and to provide internet/ web based applications, services and solutions, provide or take up information technology related assignments on sub-contracting basis, offering services on-site/ off-site or through development..... Internet of Things and Information Technology Enabled Services. 38) To develop, provide, undertake, design, import, export, distribute and deal in Systems and application software for microprocessor based information systems, off shore software development projects, internet service provider, and solutions in all areas of application including those in Emerging niche segments like Internet and Internet programmes.

19. To purchase, take on lease, exchange, mortgage, charge, hypothecate, encumber, hire or otherwise acquire or dispose of any moveable or immoveable property including lands, buildings, and flats of any description in India or elsewhere.

20. To purchase, take on lease, exchange, mortgage, charge, hypothecate, encumber, or otherwise acquire or dispose of any other rights and privileges which the Company may think fit, and in particular of shares, debentures, or securities of any other company and to give any warranties in connection therewith as the Company shall think fit.

21. To deal in, sell, mortgage, let out or otherwise dispose of the businesses, undertaking or all or any of the property and assets for the time being of the Company, or any part thereof, for such consideration and on such terms, as the Company thinks fit, particularly for shares, debentures, or securities of any other company and to give any warranties in connection therewith as the Company shall think fit. 

22. To promote, invest or assist any companies for the purpose of acquiring all or any of the property, rights and liabilities of such companies, which may seem beneficial to the Company.

23. To enter into joint venture, partnership, or any other arrangement for joint working in business, sharing profits or for co-operation or for mutual assistance or form, promote, subsidize and assist companies and partnerships of all kinds with any person, firm or company or to acquire or carry on any other business (whether manufacturing or otherwise) auxiliary to the business of the Company or connected therewith or which may seem to the Company capable of being conveniently carried on in connection with the above, or calculated directly or indirectly to enhance the value of or render more profitable any of the Company's property or to amalgamate with any person, firm or company carrying on or about to carry on any business or transaction included in the objects of the Company or any other similar business in India or abroad.
